What Documents Are Required to Establish a Company in France?

The documents required to establish a company in France are not merely about filling out a form and applying to the trade registry. Whether the partners are natural or legal persons, the type of company chosen, the field of activity, address solution, and residency status in France directly affect the content of the file. Proper preparation of the documents from the outset prevents additional requests, translation delays, and waiting times caused by the bank during the establishment process.

For foreign entrepreneurs planning to establish a company in the French market, the correct approach is to evaluate the documents in two separate groups: the establishment documents belonging to the company itself and the identity documents of the partners and managers. Especially for company owners investing from Turkey, apostille, sworn translation, and proof of company representation authority should be planned at an early stage.

What elements are the documents required to establish a company in France dependent on?

The list of documents is not exactly the same for every establishment. The most commonly preferred types of limited liability companies are SAS, SASU, SARL, and EURL. The signature, articles of association, and decision documents may vary between a single-member structure and a multi-member structure. The amount of capital, appointment of managers, and distribution of shares should also be clearly stated in the establishment file.

Another important distinction is the identity of the partner. For individual partners, passport, address, and marital status information are required; for corporate partners, the parent company's trade registry, articles of association, decision of the authorised body, and representative documents are needed. If the parent company is established outside France, the document chain becomes more detailed.

Some activities may also require professional qualifications, permits, or licenses. In sectors such as restaurants, transportation, construction, security, real estate, financial services, or health-related fields, additional sector documents may be requested in the standard company file. Therefore, the activity code and regulations should be checked before selecting the type of company.

The essential documents for the company incorporation file

Company registration in France is carried out through a digital official formalities system. It is expected that most of the following documents are completed before the application:

    • A signed articles of association that includes the company's title, registered address, subject of activity, capital, partnership structure, and management rules.
    • A capital blocking certificate issued by a bank or authorised institution showing that the company capital has been deposited.
    • A lease agreement, property title, business centre agreement, or domiciliation document proving the company's registered address.
    • A publication document showing that the company incorporation announcement has been published in the authorised legal announcement publication.
    • A declaration of acceptance of the position for the manager or managers, along with a declaration of honour stating that there are no prohibitions or convictions.
    • A valid passport or appropriate official identification document verifying the identity of the company manager.
    • A declaration explaining the identity of the beneficial owners and the control ratio over the company.

The articles of association are the central document of the file. Using a general template found on the internet directly can cause problems in the future, especially in companies with foreign partners. Issues such as share transfer, executive powers, decision-making procedures, separation of partners, and capital increase should be arranged according to the company's actual business model. If there are plans to attract investors, work with a group company, or find a local partner in France, this need should be reflected in the articles of association from the outset.

    Capital investment and bank document

In capital companies such as SAS, SASU, SARL, and EURL, a blocked account is opened for the initial capital. The bank, notary, or an authorised financial institution under certain conditions provides a document showing that the capital has been deposited. After registration is completed, the account is opened for the company's use.

One of the most time-consuming stages for foreign partners is the bank compliance review. In addition to the identity of the partners, the bank may inquire about the source of funds, business plan, commercial relationships, and expected transaction volume. Therefore, it is beneficial to prepare not only the amount of capital but also a short and coherent business plan that explains what the company will do.

    Documents proving the registered address

Every company to be registered in France must have an official registered office. This address can be an office where the operation is actually carried out, a rented business premises, or a structure providing legal address services. In the initial stage, a flexible address solution can reduce costs; however, the physical space requirements for client meetings, storage, personnel, or regulated activities should also be assessed.

The document proving the right to use the address must be consistent with the company name and the duration of the contract. Although it may be possible in some cases to use a partner's personal residence as an address, this method should not be chosen without checking the lease agreement, site rules, and local regulations.

Documents required from partners and managers

A valid passport copy is the primary document for an individual partner or manager. In practice, additional information such as place of birth, parent information, residence address, and marital status may also be requested. The spelling of names in the documents must be exactly the same as those in the articles of association. Even double surnames, second names, or differences in Latin letters may necessitate corrections in the application.

A letter of acceptance for the appointed manager is also prepared. This person can be a company manager even if they do not reside in France. However, for a founder wishing to actually manage the company in France, work, or reside for a long time, the company registration with residence and work rights are separate issues. The appropriate visa or residence permit strategy should be addressed alongside the establishment timeline.

Additional documents if there is a corporate partner

If a company registered in Turkey or another country is to become a partner in a company to be established in France, a more comprehensive file is prepared. Generally, the current trade registry document of the parent company, its articles of association, tax or registration information, the decision of the authorized body to make decisions on behalf of the company, and documents showing the signatory authority are required.

The currency of these documents is critically important. In many official transactions, a recent trade registry document is required. Additionally, it is expected that the decision regarding the parent company's participation in the new partnership in France, its capital commitment, and the appointment of a representative contains clear statements. The signature of the general manager may not always be sufficient; the authority system must be proven with the parent company's documents.

    Apostille, translation and document validity

If official documents issued in Turkey are to be used in France, the apostille requirement is a common issue. An apostille verifies the signature of the official authority in the country where the document was issued for international use. However, not every document may need to be apostilled, and different verification methods may be applied to some commercial documents.

For documents not in French sworn translation may be required. Although the application may vary for multilingual or easily understandable documents like passports, the request for French translation is more common for trade registry records, board resolutions, and power of attorney documents. The translation should be planned according to the nature of the file, whether it will be prepared with the apostilled original document or alongside the document.

The safest method is to submit current, legible, consistent documents with translations that are apostilled when necessary. The option to complete a document later does not always speed up the process. On the contrary, it may lead to a re-examination of the file.

Practical checks to be carried out before establishment

Even if the documents seem ready, several critical compliance checks must be carried out before the application. The availability of the company name, the correct writing of the activity description, the matching of partnership percentages with the capital amount, and the consistency of manager information across all documents are among the foremost. In particular, the title on the bank document must be the same as the title in the articles of association.

Additionally, post-establishment obligations should also be considered. Accounting organisation, VAT registration, payroll processes, insurances, commercial contracts, and any import-export operations come into play immediately after company registration. Focusing solely on the incorporation file can create new delays in the transition to operation.

Establishing a company in France is a controlled and predictable process when managed with the right set of documents. ADAL Consulting can support the process in aligning with commercial objectives, from the preparation of incorporation documents to the local operational plan. The best start is to clarify your partnership structure, business model, and operational needs for the first 12 months in France before gathering documents.
